摘　　要：对价是当前股权分置改革的关键,流通股东与非流通股东的对价博弈又是对价的核心。该文提出了对价博弈的标准与基本原则,分析了流通股东困境与非流通股东计谋,通过纳什均衡模型分析,提出了对流通股东保护的建议。the key of the split - share structure reforming is the consideration, the croe of which is the consideration game between the circulating share - holders and the stable share - holders, the measures to protect the circulating share - holders can be reached by Nash equilibrium and consideration game following one standard and 3 basic principles.
