摘　　要：本文以企业资源理论为基础,根据转移的难易程度和对协同的贡献,建立了一个企业资源的详细分类图。对资源转移效率衡量的总体框架进行了论述,并概述了各类资源的转移效率。最后,采用层次分析法和模糊数学的方法建立模糊综合评价模型,为并购中系统分析和综合评价目标企业的资源转移提供了一种科学实用的定量方法。Based on the resource - based theory of the firm, this paper builds up a classification chart for enterprises＇ resources in accordance with the difficult degree of resource transfer and the contribution to synergy. It also constructs a systematic framework to measure the resource transfer efficiency and gives a general description on each kind of resources. At last, it constructs a fuzzy overall evaluation model by using fuzzy and AHP method, which provides a scientitle, practical and quantitative research method to analyze and evaluate target firms in M＆A systematically.
