摘　　要：利用索洛的古典增长模型,建立包括内外资两部门的C-D生产函数,得出外商直接投资显著促进了中国第三产业的发展,但其贡献率远低于国内投资,找出限制具有先进技术和知识的外资企业发挥其效用的因素,并通过相应的政策来解决这些问题。The China＇s tertiary industry will become the next favorite for foreign investors, and as the end of transition period of the entering of WTO, there will be more foreign companies presence in China. This article uses the traditional Solow growth framework to build a C - D model including foreign and local industry. We get the conclusion that the foreign direct investment has promoted significantly the development of the tertiary industry. But it is less strong than local investment. Then, we will find out the obstacles, and offer some corre sponding measures to solve those problems.
