摘　　要：文章通过对国有商业银行内部治理“委托-代理”链条中产权代理和经营代理的分析,指出国有商业银行公司治理难以完善的根本原因,并针对性地提出进行产权改革与优化公司治理的目标和步骤。By analyzing two links in the chain of ＂principle - agent＂ - agent in property rights and agent in management, the paper revealed the key cause of the poor corporate governance of state - owned commercial banks, then suggested the goals and steps of property rights reform and corporate governance promoting.
