摘　　要：为了提高公司制企业的内部控制效果,建立了公司治理与内部控制相互关联的结构,论述了公司治理与内部控制的区别、联系及二者的关系,从而提高其公司治理的效率,使企业实现预定的经营管理目标。So to increase the effect of the interior control of the company enterprise, it builds the related structure of the enterprise father and the interior control, discusses the differences, the link and relation of enterprise father and the interior control, so to accelerate the efficiency of the enterprise father, make the enterprise implementation the pre-determined management and operation target.
