摘　　要：公司设立行为之繁简因公司类型不同而有差异。一般地，有限责任公司因应小规模企业之需，其设立程序较为简单：比较而言，股份有限公司的设立耗时较长，程序复杂。但在公司设立中．有一些基本要素是所有公司的设立阶段所必需满足的。Whether or not the establishment of a company is complicated depends on the types, of companies. Generally speaking, to satisfy the requirements of the small-scaled or small-sized companies, the procedures for the establishment of a limited liability company is somewhat simple. Compared to this, the establishment of the companies limited by shares costs more time and is in need of more complicated procedures. Despite of the differences.
