摘　　要：依据新修订的《公司法》,为数众多的中小企业公司治理不太规范,有的甚至存在着重大缺陷,已经影响到整个中小企业公司的运作。借鉴国际经验,中小企业公司应主动从治理结构现状与问题出发,采取健全法人治理结构与治理机制的有效措施,包括:规范的公司治理结构,增强整体抗风险能力;确保董事会对经理层的有效监督;调整充实高级管理人员,落实管理责任;发挥监事会的监督、制衡作用;确认公司中小股东与利益相关者的合法权利。　According to the revised Company Law of PRC,quite a few Middle-and-Small-Sized Enterprises（MSEs） have some defects in their corporate governance which have influenced their business operation.Taking lessons internationally and based on the current situation and problems,MSEs should adopt effective measures to perfect the structure and mechanism of corporate governance.Such measures include the follows： to regulate the structure of corporate governance and strengthen capacity to prevent risk;to assure the effective supervision on managers by Board of Directors;to adapt high-level managers and implement management responsibility;to improve the supervising and check mechanism by Board of Supervisors;to recognize the lawful rights of small share-holders and stake-holders.
