摘　　要：研究了集团企业多元化的发展历程,基于对组织能力的认识,强调了内部资本市场在价值管理中的作用,指出公司层战略在追求母合优势过程中要借助内部资本市场才能发挥作用,结合集团企业的内外部管理环境建立了一个整合的治理框架。The research first focused on the development of conglomerate company diversification, then based on the realization of organization capability, we emphasized the function of internal capital market on the value management, then pointed out that corporate level strategic for building the parenting advantage need internal capital market. Finally, considering the conglomerate＇s internal and external environment , this paper provided an integrate governance frame.
