摘　　要：设立中公司是在公司设立过程中出现的一种特殊的市场主体,过渡性和目的性是其两个最大的特点,同时,它还没有取得法人资格。就法律性质而言,设立中公司是一种具有自身特性的非法人团体。设立中公司与发起人的关系表现在发起人是设立中公司的机关。The establishing corporation is a kind of special marketing subject,arising in the process of corporation establishment.As far as its legal character is concerned,it is transitional and has its own goal.Meanwhile,it has not gained the qualification of legal person.When it comes to legal nature,establishing corporation is a type of organization without legal personality with its own characteristics.Promoters are the organs of establishing corporation.
