摘　　要：作为一种重要的金融创新,知识产权证券化对于建设多层次金融市场、发展自主知识产权具有重要意义;它有利于优化资源配置,提高金融市场效率,解决创新型中小企业融资难问题,以及拓展投资管道。由于知识产权是法律所创设、以无形资产为客体的权利,而传统金融法律制度主要以实体资产为客体而构建,两者之间存在某种程度的不协调。并详细分析了知识产权的权利特性,结合有关案例,探索了知识产权证券化过程中可能面临的风险及其防范的对策。As an important innovation of finance, transforming intellectual property rights into security is of great significance to establish multi -level financial market, develop self-own intellectual property rights. Such innovation could optimize the allocation of financial resources and increase the efficiency of financial markets. It also helps to resolve the difficulties faced by small and medium - sized enterprise in financing, as well as provide alternatives to investors. However, intellectual property rights are intangible rights created by laws, while traditional financial legal framework is mainly developed around tangible assets. When intangible rights are operated in such a framework, some conflicts could occur. This attiele elaborated the relevant risks and feasible countermeasures through analyzing the nature of intellectual property rights based on relevant eases in the transformation of intellectual property rights into security.
