摘　　要：经过十几年国有资产监督管理的理论研究和实践探索,上海目前形成了"两级管理"、"三个层次"、"三位一体"的国有资产监管体制的框架。上海国有企业公司制改造是在传统的国有企业基础上进行的,公司治理结构需要经历从无到有、不断完善、不断规范的发展过程,在借鉴其他国家董事会制度的经验基础上,将把一个原先被动性的董事会发展成为一个策略性的董事会。From the 1990s, with study and practice on state-owned assets supervision and administration in China, the framework of stateowned assets supervision and administration in Shanghai has built a mode of ＂two class of administration＂, of ＂three level of supervision＂ and of ＂trinity of action＂. Corporate governance of state-owned in Shanghai should have grown gradually from nothing and should have became a strategic board of director from a being passive board based experiences of other countries.
