摘　　要：首先澄清承运人的债务履行辅助人责任不同于转承责任。结合海上货物运输法的规定,对承运人的债务履行辅助人责任范畴内两个有特别表现的问题详加分析:一为承运人的债务履行辅助人的范围和分类,并对《运输法公约(草案)》中承运人的债务履行辅助人的构造加以评述和提出建议;二为中国《海商法》第51条第一款第(12)项"或者"一词所体现的承运人的债务履行辅助人责任的归责原则,认为必须将该项中的"或者"修改为"和"或"以及"。This article makes it clear at first that the carrier＇s liability for its performing assistant is different from its vicarious liability. Then it expounds two special issues regarding the carrier＇ s liability for its performing assistant on the basis of the law of carriage of goods by sea. One is the scope and sorts of the carrier＇s performing assistant, whereas this article comments on the construction of the carrier＇ s performing assistant in the Draft Convention on the Carriage of Goods [ WhoUy or Partly ] [ by Sea ]. The other is about the basis of the carrier＇ s liability for its performing assistant indicated by the word of ＂or＂ in Art. 51 Para. 1（12） of the Maritime Code of the P. R. China, and the authors hold that the said word of ＂or＂ shall be modified to ＂and＂ after analysis.
