摘　　要：以盱眙亚尔斯人造板有限公司为例,研究了"公司+农户"模式下公司和农户双方违约的经济学原因。通过分析发现,违约产生的根本原因在于其收益高于成本,另外,合约的不完全性、信息不对称导致的机会主义行为、资产专用性导致的"敲竹杠"行为、违约责任模糊、事后监督和追究责任的成本太高等因素也是签约双方违约的主要原因,因此,需要进行一系列的制度安排来规避违约现象的产生,促进"公司+农户"组织模式的顺利发展。Taking Xuyi Yaersi for example, the economics reasons of both companies and farmers violations are analysized. By the analysis, the authors found that the fundamental reason is proceeds excess costs. In addition, the incompletement of contract, the acts of opportunism by asymmetric information, the gouging acts by assets dedicated, the duty fuzzy of b reach, the high cost of supervision afterwards and accountability are main reasons. Therefore, a series of institutional arrangements should be made to avoid violations to promote development of ＂company ＋ farmers＂ organizational model.
