摘　　要：结合天津市北水业有限公司股权转让项目对业内长期担忧及以往水务股权转让项目实践中存在的问题进行了研究,并从保障公共安全、维护公众利益、体现国有资产控制力、明确转让收益的流向、打破水务市场垄断、合理确定股权价值、综合评定投资商、资产处置方式等方面进行了探索与实践。该项目是国内首次以企业为主体运作的水务项目,自主建立了财务模型计算股权价值,同时形成了从商务要点、招标文件、评标标准到项目谈判各环节间紧密联系的项目体系,在公平互利的基础上最大限度地保障了转让方的利益。Combined with the water equity transfer project of Tianjin North Water Co. Ltd, the problems concerned by the enterprises for a long time and the problems existing in other previous projects were studied. The exploration and practice were clone in aspects of guaranteeing public safety, safeguarding public interest, reflecting state-owned capital control, defining transferring profit, breaking monopoly in water market, valuing equity rationally, assessing investors comprehensively, disposing property and so on. It is the first time for Chinese water companies to play a main role in the project negotiation, and the own financial model is established to calculate equity value. The project system in which business essentials, bidding document, bidding assessment criterion and negotiation are closely interconnected is formed, which ensures the most benefits for the transferor based on equity and reciprocity.
