摘　　要：本文从政府创业投资引导基金的扶持对象和扶持方式、组织机构和职能、利益分配和退出方式、监督和风险防范等方面设计政府创投引导基金的运行管理模式,探讨建立引导基金的运行机制、内部控制和激励机制,完善公司治理,加强监督和风险防范,防止内部人控制和道德风险,以保证政府引导基金的功能、效率和安全,确保国有资本的保值增值和再投资的良性循环。This article conducts thorough research on government leading fund of venture capital. It analyzes supported subjects, supporting approach, organizational structure, unit function, interest distribution, withdrawal channel, supervision, risk avoidance, etc., and designs the operational and managerial model of such fund. It also holds discussion about the operation, the internal control system and incentive mechanism of gov- ernment leading fund of venture capital. This article intends to improve corporate governance, strengthen supervision and risk avoidance, and ensure the function, efficiency and safety of such fund.
