摘　　要：新《合伙企业法》的出台,顺应了时代发展的需要,使我国的市场主体得以丰富和多元化,尤其是其中新增加的有限合伙的规定体现出了我国商事法律与理论的进步和深入。有限合伙兼具资合性与人合性的特点,既能实现有限合伙人的资产保值增值的目的,又能发挥普通合伙人施展才华、控制企业进行生产经营的目的,弥补了公司制度和普通合伙制度的缺陷,最大限度地发挥了"资本"与"知本"的作用。The advent of the New Joint-Venture Law diversifies the Chinese market-economy, especially with the added regulation of limited joint-venture. Chinese corporate laws and theories are making good progress. Limited collaboration includes capitals and human resource. Limited collaborators secure sufficient capital while ordinary collaborators contribute management skills and technology. Such models are more advanced than the ordinary company regulations and collaboration regulations.
