摘　　要：随着时间的逐渐推移,中国在入世协议书中所承诺的全面开放国内金融市场的时间即将到来,作为金融市场砥柱之一的国内股份制商业银行面临着改革的巨大压力。在众多的改革内容中,公司化治理无疑是很重要的一个内容,论文着重讨论股份制商业银行在迈向现代化公司治理的过程中,其主要的三个内部实体:股东大会、董事会、监事会的现状以及未来的走向,同时探讨了股份制商业银行内部信息的分类、利益矛盾等问题。With the gradual passage of time,the very time is approaching when China opens all-sidedly its domestic financial market to the world as promised in the Agreement on WTO Entry,which is bound to put the domestic stock-holding commercial banks——one of the pillars in the domestic financial market——under tremendous pressure for reform.Of the various reforms to be undertaken by domestic commercial banks——the corporate management is undoubtedly a rather important one.This paper aims to analyze the quo status and the prospect of three principal interior entities of stock-holding commercial banks-the stock-holder conference, the board of directors and the board of supervisors in the process of modernization of the banks. Moreover, in the final part of the paper, a probe is made into the classification of internal inforation in and the benefit conflict of stock-holding commercial banks, and some personal ideas and proposals are advanced.
