摘　　要：第三人利益合同之受益第三人须具备民事权利能力;应当是合同当事人赋予利益的意图所指向的人;是特定的人或是可以被"特定化"的人;还应当具备独立的诉讼地位。受益第三人享有给付请求权、给付受领权及债权保护请求权。受益第三人也负担一定义务,但不得超过其所享有的利益。The beneficiary third party of the contract for the benefit of third party must have the capacity for civil rights, should be the person endowed with benefit by parties of contract, is the specified or specifiable person, and also has unaided status in litigation. The third party has the claim for delivery, the right of acceptance, and the claim for credit protection. The third party shall also have certain burden of obligation which will not exceed his benefit.
