摘　　要：设立中公司的法律责任可以分为两种情况,即公司设立失败时的民事责任和公司设立成功情况下的民事责任。为了规范设立中的公司,我国应当建立设立中的公司登记制度。The initiator＇s duty of a company can be divided into two kinds of situations for the legal liability of a company in establishment： the civil liability when establishment defeat, and the civil liability when it sets up successfully. Moreover, we should establish the registration system to manage the company in establishment.
