摘　　要：我国提出"坚持最严格的耕地保护制度",实施了一系列积极的耕地保护政策,而实施结果与预期目标存在较大差距。土地征收过程中形成的最高限价是其中一个不容忽视的因素。文章利用经济学知识分析了最高限价与耕地保护间存在的矛盾关系,并由此提出改革征地补偿标准、明晰土地产权、规范政府和用地单位行为、建立失地农民安置机制等缓解措施。China put forward the ＂adhere to the strictest farmland protection system＂, and implemented a series of positive farmland protection policy. But there is a wide gap between results and expected objectives. In my part, ceiling price in the process of land expropriation is a factor that should not be ignored. The paper analyses existing contradictions between ceiling price and land protection with the help of economics. According to analysis, some appropriate mitigatory measures are proposed.
