摘　　要：对法人涵义和其特征的考察发现法人与独立责任间必然联系的观点值得怀疑。在对法人制度的历史考证和现代世界主要国家法人制度对比的基础上,结合法人人格要素分析,论证法人与独立责任不存在必然关系。The opinion insisting on the necessary connection between legal person and independent liability is questioned when we examine the connotation and characteristics of the legal person. By making a comparison between the legal person systems in history and at present and conducting an analysis of the elements of legal person＇s personality, this article proves that there is no necessary connection between legal person and independent liability.
