对我国上市公司大股东掠夺问题的思考

摘　　要：公司股东内部,大股东凭借其控制地位攫取控制权收益,产生了大股东掠夺问题。文中分析了大股东掠夺的手段及危害,揭示了大股东掠夺问题产生的因素,指出我国大股东掠夺问题严重与资本市场发展不规范密切相关,并相应地提出了约束大股东掠夺行为的建议。In companies, big shareholders, taking advantage of their controlling status, grab benefits of control, thus resulting in the problem of big shareholders＇ expropriation. This thesis analyzes the means of big shareholders＇ expropriation and their damages and points out the factors responsible for its generation. It also explains the close relationship between the gravity of this problem and the chaos of capital market＇s development. Accordingly, it tables a few proposals to restrain big shareholders＇ expropriation.
