摘　　要：通过对我国公司负债现状和相关学说的探析,结合相关法律和制度对债权人利益保障的规定,文章认为我国已具备债权人参与公司治理的条件。文章还对债权人如何参与公司治理提出一些建议,主张由银行等债权人派遣具备相关专业知识的人员进入公司监事会,参与公司治理。By analyzing the reality of corporation being in debt and the relative theories, it is proved that our country has the condition for creditor to participate in the corporate governance; and integrating the analysis on relative regulations and systems which used to protect the creditor＇s profit, the author gives some advice on how the creditor participate in the corporate governance, proposing that creditors, such as banks send professionals into the board of supervision to take part in the corporate governance.
