摘　　要：对中小科技企业产权交易市场的制度缺陷进行分析,通过国外产权交易市场组织模式的演变及发展趋势研究,在借鉴美国场外交易市场发展的基础上,结合我国构建多层次资本市场体系的需要,提出中小科技企业产权交易市场向区域性柜台交易市场转变的组织结构和发展模式选择,并通过案例研究说明其可行性.It analyses the system shortage of property exchange market for small and medium S＆T enterprises. Through studying overseas property exchange markets＇ about structure modes＇ evolvement and developing trend, based on the US＇s experience in developing OTC market as well as, combined with China＇s need tO construct multi-level capital markets, it puts forward the organization structure and mode selection for small and medium science ＆ technology enterprises to property exchange market, transforming to regional OTC market, and then explains the feasibility through one case study
