商业银行公司治理之涵义辨析

摘　　要：巴塞尔银行监督委员会《健全银行的公司治理》、香港金融监管局和中国人民银行《股份制商业银行公司治理指引》以及学术界对商业银行公司治理有不同的界定。商业银行公司治理的涵义可从不同的角度分析：就内部结构而言，商业银行公司治理是静态组织结构和动态制约机制的统一；就商业银行公司治理的内容而言，商业银行公司治理又可以分为狭义的公司治理和广义的公司治理。商业银行公司治理结构不同于商业银行的公司治理机构、商业银行的公司治理结构和商业银行监管。The Basel bank supervisory committee ＂the company who improves a bank governs ＂ , Hong Kong financial regulation bureau and People＇s Bank of China ＂stock system commercial bank company administer the boundary guiding ＂ having diversity as well as academic circles governs to commercial bank company stablely. The implication that the company governs but the never same angle analyses a commercial bank： That as far as inner structure be concerned, the commercial bank company governs is that the static state framework of organization and development restrict the machine-made unification; As far as the content that the commercial bank company governs be concerned, the commercial bank company administers the govern and broad wide company of company who can be a narrow sense mark governing. The commercial bank company governs structure more different than the commercial bank company governs organization , the commercial bank company governs structure and commercial bank inspection.
