摘　　要：从科研人员人力资本的特点出发,将产学研合作看成是一种"合约",从"合约相关者剩余"的概念出发,提出技术股份化是产学研合作的一种有效模式,并对技术股份化模式下产学研双方的博弈行为进行了分析,研究了合约相关者剩余的分配;最后提出了一种技术股份化操作模式即高等院校人力资本置换模式。Staring from the special trait of human capital of technological people and from the concept of ＂surplus of contract-holder＂, this paper put forward a new model of interest allocation--stock inverted by technology, and improved the old model of cooperation among IUR utilized the game theory, discussed both conduction under the new model, analyzed the distribution of surplus of contract-holder. In the last part, the authors suggested a new model of technological stock.
