摘　　要：MM理论的提出奠定了现代金融学和理财学的基础,但由于其须设众多假设条件及经济社会因素不断地变化,以至于存在一些缺陷或局限性。随后的经济学家们对MM理论的不断修正使其得到了进一步的发展和完善。本文通过现代西方资本结构理论的发展历程及其评析,归结出对我国上市公司健康发展和资本市场进一步完善的一些重要政策启示。MM theory is the foundation of modern financial theory, but it is deficient and limited for some assumptions must be satisfied in its applications. MM theory obtains further development and improvement after it is revised by economists. This article gives some important policy proposals by analyzing the development process of capital structure theory to boost the healthy development of listed companies and capital market in China.
