摘　　要：董事会结构与公司绩效的关系是公司治理研究的一个重要领域.对现有的相关研究文献进行回顾,对这些文献中主要理论观点进行评析,在此基础上,提出了以绩效为出发点的董事会合理结构的综合分析框架.结合实际指出了我国公司在董事会结构设计方面应注意的一些关键之处.The relationship between the structure of the board and the corporate performance is the main research domain of corporate governance. Firstly, the paper reviewed the current theories related, and then analyzed the primary standpoints of these references. On the foundation of the review, the paper proposed the integrative analyzing framework of the reasonable board structure, which is on the basis of corporation performances. Finally, by considering the Chinese reality, the paper pointed out the key points of our companies in designing their own board structure.
