摘　　要：在国家风险国际指南(ICRG)对国家风险评价基础上,运用实物期权方法对跨国并购中被购方的价值进行分析,揭示了国家风险对跨国并购决策的影响,为跨国并购价值分析及决策提供了一个全新的视角,同时结合算例进行了探讨。In this paper, the authors take ICRGg valuation of country risk as a basis, then, by using a real option approach, they decide the valuation of transnational M＆A. Meanwhile, the authors make a decision on whether or not to carry on the investment. The method used in the paper provides a new view in value assessment and decision of transnational M＆A.
