“双界性”法人:我国高校法人滥权的制度特征及治理

摘　　要：我国高校法人滥权具有"双界性"法人滥权的制度特征,这与我国高校以"事业单位法人"为基础的制度设计缺陷有关。法律对"双界性"法人滥权现象必须设置防范机制。虽然存在着公法和私法区分上的困难,但为了从长远确保我国主流高等教育的公益性,应完善我国高等教育法制及其体系,明确高校法人的公共本性,以公法为约束高等教育法律关系的主法,同时本着私法规则在一定范围内准用于公法人的法律精神,有条件地保留高校民事主体地位及行为能力,以发挥其以收补支、以盈补缺、以市场补公益的正面作用。The abusing behavior of corporate authority of China’s colleges and universities, characterized by the institutional features of 'amphibious corporation', to a certain extent results from the design defect of China’s corporate system. Though it is rather difficult to draw a clear line between the public and private law, it is necessary to improve legal system of higher education, in order to insure the public nature of main stream of China’s higher education. That means China should improve its law system for higher education, to regulate the legal relationship of higher education mainly upon public law; but meanwhile reserve some useful private functions of public universities and colleges, so as to play their positive role of benefiting public disbursement with market income.
