摘　　要：人力资本出资因其特殊性而成为我国公司法上的一项新制度,尚无明确的法律法规为依托。人力资本出资存在的主要法律困惑在于人力资本的评价困难、转让困难和威胁交易安全;人力资本出资制度的构建应着重于建立科学的评估系统、严格限制人力资本出资范围、明确出资者法律责任、建立相应的人力资本股份转让和退出制度以及股东的竞业禁止义务。Huham capital investment as a new system in China because of its particular characters, at present shall not explicit laws and regulations. The main legal problems on human capital investment are the difficulty of evaluation and transfer,and its harm for trade safety. So the legal design of human capital investment in our country shall emphasize on the establishment of the scientific evaluation system, restricting the scope of human capital investment, confirming investors＇ obligation, and so on.
