摘　　要：用逻辑分析法和实证研究法分别对管理层收购的资金缺陷问题以及MBO信托融资及其面临的法律问题进行探讨,得出管理层收购应采用信托融资方式解决资金来源问题。意在通过研究,推动有关立法,实现MBO信托融资的合法化,使管理层收购最终走出资金困境。The logical analyzing method and demonstration research method are taken to analyze the capital defection in MBO, trust financing and its legal issues, this paper intends to promote the related legislation, to achieve legalization of MBO trust financing, and to overcome the financing difficulties in MBO.
