我国中小民营企业境外上市融资策略研究

摘　　要：融资难一直以来困扰着我国中小民营企业,严重制约着中小民营企业的发展,也迫使越来越多的民营企业将融资的目光投向境外。文章分析了中小民营企业在境外融资的优势,以及在境外上市面临两大问题。认为:在上市地点的选择上,我国的中小民营企业目前在新加坡证券交易所上市更为合适;在上市方式的选择上,采取造壳上市比较合适;最后还对设立海外公司的运作程序以及造壳后的股份框架结构采用图例的方式进行了说明。First of all, the paper analyzes the fact that the plugging of China＇s small and medium-sized private enterp rises＇ three financing channels has seriously hampered their development. It points out the advantages of the small and medium-sized private enterprises which urgently need to solve the problem of fund bottleneck to fiance in overseas markets, and discusses the two major problems faced in overseas listing. The research shows that in the choice of listing location, it is more appropriate for China＇s small and medium-sized private enterprises to list in Singapore Stock Exchange; in the choice of listing method, it is more suitable for them to use the method of back door listing.
