证券跨境发行与交易的英文披露制度--欧盟、日本的经验及对我国的启示

摘　　要：为提高境内资本市场国际竞争力,中国开始考虑吸引境外企业到境内上市,但我国证券立法较为粗疏,对境外企业到境内上市与交易的信息披露问题未作出详细规定。对于证券跨境上市与交易的信息披露,欧盟和日本的立法允许以英文披露的信息来代替以本国语言编制的披露文件,减轻了境外企业的信息披露成本,增加了市场吸引力。我国将来对信息披露进行相关立法时可以借鉴欧盟和日本的立法经验。To improve the international competition power of Chinese capital market, the authority is considering allowing foreign stock to list in the A share market in the mainland of PRC. Considering the imperfectness of Chinese securities law, the specific regulations on the information disclosure of the cross-listed securities offering and transaction have not been promulgated. About this question, EU and Japanese related legislation permits using information disclosure in English rather than in domestic language, which will give us some useful hints.
