摘　　要：公司瑕疵设立指在公司设立过程中,由于公司设立的条件和程序不符合法律规定而形成的一种法律现象。我国公司法虽在2005年进行了较大的修改,但未对公司瑕疵设立的法律后果作出较为完善的规定。本文借鉴两大法系的立法精神,提出了完善我国公司瑕疵设立制度的一些思路,希望对完善我国的公司立法以及有效规范我国公司瑕疵设立现象有所裨益。Legal regulations of defective incorporation is an important part of the legal system of incorporation. In the corporation practice, some corporations have gotten the registry certification, but they do not conform with the corporation law perfectly, this is defective incorporation. According to the situation of our country, the paper finds out the shortages of the defective incorporation in our Corporation Act and brings forward some thoughts on the perfection of our country＇s defective incorporation regulation system.
