摘　　要：信息披露制度是保证资本市场效率的关键因素。然而,中国上市公司信息披露无论从制度建设层面,还是从具体执行层面来看,均存在不尽完善之处。本文在对上市公司信息披露存在的主要问题进行分析的基础上,运用博弈论对其作出解释,并对如何完善中国信息披露制度加以简要分析。Information disclosure system is a key factor in ensuring efficient capital market. However, as far as information disclosure system of listed companies is concerned, there exist some problems in the institutional building and implementation in China. Therefore, the paper applies game theory to the analysis of the problems and offers some proposals for improving the information disclosure system of listed companies in China.
