摘　　要：日本证券市场的历史较长,早期是在严格限制下运营的。为了提升企业的竞争与应变能力,日本证券界采取了一系列的改革措施,放宽限制,鼓励竞争。虽然这些改革措施取得了一定的成效,但也产生了恶意并购重组、违法操纵市价、内幕交易、伪造财务报表、披露虚假信息等不公正交易的法律问题。There is a long history of Japanese stock market, In the past, it was operated in great restriction.For the purposes of enhancing enterprises＇ competitiveness and capabilities to cope with changes, a series of reform measures was taken by Japanese securities industry. Although these measures have made certain degree of effectiveness, they also brought up unfair trade such as Merger and Acquisition, illegal market manipulation, insider trading, falsification of financial statements, and disclosure of false information and so on.
