银行参与民企公司治理的动因与模式

摘　　要：银行作为民营企业重要的利益相关者,一方面解决了民营企业融资难的现实问题,另一方面出自于对自身利益的考虑,积极参与民营企业的公司治理,对促进与完善民营企业公司治理发挥着重要的作用。在分析了银行参与民营企业公司治理的可行性及动因的基础上,提出了银行参与民营企业公司治理的两种模式,并从政策层面探讨了银行参与民营企业公司治理的对策。As a sound stakeholder, bank, on the one hand, solves actual problem of financial difficulty of private enterprise, and on the hand hand, it positively participates in private enterprise’s management for the interest of itself. This paper analyzes the feasibility and significance of the bank’s involvement and proposes two modes available for the bank. Then it proposes the countermeasures and ideas on management.
