摘　　要：独立董事制度引入的意义在于:克服监事会的缺陷、适应入世的情势、发挥独立董事的优势。在实践中业已暴露出独立董事的三种不正常情态:花瓶董事、紧俏董事、受气董事。独立董事协会一经存在,应着力将其建成为:独立董事的资源库、充电器、铁靠山。Independent directors refer to those who are independent of companies' interest, and upon whom no influence are exerted when making their own judgement in the process of decision-making. And independent director system has been introduced to our country as an objective demand by China's entry into WTO, the significance of which lies in the fact that it can theoretically be complementary to the system of board of supervisors. However three abnormal circumstances emerge in its actual practice: 1)Independent directors become a certain decoration to the companies;2) They become the ones who always get blamed;3)They become badly-needed professionals. To solve the problem, the association of independent directors should be established and endeavour to build itself into a resource bank' , 'a generator and 'a guardian ' of independent directors .
