摘　　要：独山子油矿是本世纪３０年代末在新疆石油工业方面的第一个中外（苏）合资企业，由于当时没有正式的合同或协议，在经营活动中，中方并没有取得平等的地位和应有的尊重。在４０年代初，由于复杂的历史原因，中苏双方均提出了商谈和签订正式协议的要求，但是这一谈判终因双方立场相差甚远，没有达成一致意见。回顾独山子油矿中苏合营的历史，可以引发我们多方面的思考。Dushanzi oil company was the first Sino foreign(the former Soviet Union) joint ventures in Xinjiang petroleum industry at the end of 1930s. Because of no official contract or agreement, Chinese didn't obtain the equal position and condign respect. At the beginning of 1940s, owing to complex historical background, both China and the former Soviet Union requsted negotiation and signing official agreement,but due to quite different standpoint, they didn't reach a consensus. Looking back to this period of history, it leads us think more.
