摘　　要：独立董事制度对我国上市公司完善法人治理结构起到了有效作用,但是,该项制度的建立与实施过程中,一直受到多种因素的影响。本文以该制度在我国有色行业的分析为例,说明该机制的发展现状及存在的问题,并提出改进建议。System of independent directors of poblic companies in China improves their corporate governance structure, but the establishment and the implementation of the system have been influenced by many factors. This paper takes the system in our analysis of nonferrous industry for example to show development of the current situation and problems in the mechanism and puts forward suggestions.
