论公司解散清算僵局的成因及其司法救济——兼谈《公司法》公司特别清算制度的完善

摘　　要：分析公司解散清算僵局的表现、成因及制度运作的司法救济问题。指出我国《公司法》规定的公司清算制度存在的问题。提出从明确公司解散清算义务人的概念、范围及其法律责任等方面的完善措施。The paper analyzes the phenomenon and causes of dissolution and liquidation of corporations as well as judicial relief in system operation. It points out some problems in the company liquidation system regulated in Company Law and puts forward some improvement measures from the aspects of making clear the concepts, ranges and legal responsibilities of dissolution and liquidation obligors of corporations.
