摘　　要：12世纪前后这一历史时段,中国和西方社会都有了向近代社会转型的机遇。然而,西方社会这一时期的变革为实现近代化转型奠定了基础,而中国却与近代化失之交臂,这是为什么?也许从中西民事法律关系主体中的商人阶层的差异及其不同的历史命运这一视角能寻求某些答案,希望由此引发的历史警醒能折射出历史的借鉴意义。Around the 12th century,China and the western society all had the opportunity for realizing modern society reforming.However,the Western society transformation in this period lay the foundation for modernization,but China just missed with opportunity,why？ Perhaps we can seeks certain answers from China and the West merchant stratum s difference and the different historical destiny,in the hope of providing the history significance for the people of our time.
