我国独立董事管理制度和管理现状调研——以陕西省上市公司为例

摘　　要：笔者通过调研发现,我国上市公司独立董事的管理存在很多问题。从制度层面看,主要问题是:缺乏市场化的独立董事选聘机制,独立董事的职责界定不明确,独立董事的任职条件规定非常笼统,没有独立董事任职年龄的规定,独立董事薪酬无标准,独立董事的工作时间没有明确的规定等。同时,独立董事的地区分布不平衡、具有企业管理专业知识或管理经验的人员比重低等问题也影响着独立董事的决策质量。因而,对独立董事制度进行必要的完善、规范独立董事的管理已刻不容缓。This study, using listed company in Shaanxi Province as an example, finds that there are many problems in independent directors system. From system design perspective, main problems are as follows： lack of market-oriented mechanism for independent directors selecting; unclear description of independent directors＇ responsibilities; inexplicit statement of requirements to independent directors; no regulation about the age of independent directors; no criteria for remuneration and working hours of independent directors. At the same time, unbalanced regional distribution and low ratio of experienced or specialized independent directors affect the quality of decision-making. The evidences suggest it is urgently to improve and standardize the management of independent directors.
