多层次资本市场改革语境下证券交易制度研究

摘　　要：建设完善的资本市场法律体系需要全面审视中国资本市场结构,比较分析国际社会发达国家成功经验,科学合理设计制度体系。其中,证券交易制度的改革和完善处于资本市场法律体系改革和完善的核心地位。而多层次资本市场法律制度体系完善,要求基于资本市场体系的层次性特征,设计相应的证券交易制度与之因应。从多层次资本市场法制演进视角,完善信息披露规则、确立强制性做市商制度、改进现有证券交易报价制度,以实现资本市场的"三公"原则,是资本市场法制完善的根本所在。Multi -level capital market construction is becoming an important goal of China capital market construction, its legal system construction is also on the agenda. Establishment of perfect legal system of capital market need carefully examine the China capital market structure comprehensively, through comparing, analyzing success experience of the developed countries, designing of system scientifically and reasonably. Among them, the reform and perfect of security transaction system is the core of legal system of capital market. Whereas, the reform and perfect of multi - level security transaction system need design relevant security transaction system basing on hierarchy traits of capital market system. From the perspective of legal system evolution of the multi -level capital market, realizing the principles of the fair, open, just of capital market is the fundamental of legal system perfect, through the perfect of information disclosure system, establishment of compulsory market - maker system and improve- ment of the bidding system of security transaction.
