摘　　要：在新兴市场和转轨经济的制度背景下,中国保险公司治理正经历从行政型治理向经济型治理的转型。本文从现代企业制度的实践层面梳理了保险公司治理的转型过程。同时,从理论角度分析了其治理主体、治理边界、金融风险承担主体的演化路径,归纳了保险公司治理转型与治理结构、治理监管、治理效率、治理风险等相关问题的研究脉络。Under the background of economic transition in the emerging market, the governance of China＇s insur- ance companies has undergone the transition from administration governance to economic governance. This paper describes the evolutionary path of insurance company in perspective of modern enterprises system, and theoretically analyzes the subject and boundary of governance, and financial risk undertakers. It also summarizes relevant resear- ches on governance structure, governance supervision, governance efficiency and governance risks, etc.
