摘　　要：中小企业融资问题一直是个世界性难题,呼啸而来的金融危机更将中小企业逼入窘境。中小企业的健康发展与我国国民经济的稳定增长和劳动就业问题密切相关,而疏通融资渠道、完善担保制度对中小企业的健康发展至关重要。本文通过分析我国及江苏省中小企业融资担保立法及其发展,比较美日韩三国关于中小企业融资担保的法律制度,为我国中小企业融资担保制度的完善提出立法建议,以期为中小企业走出困境提供法律保障。The financial issue of smal and medium-sized enterprises has always been a worldwide issue, and the roaring financial crisis has pushed the small and medium-sized enterprises into a predicament. The healthy development of small and medium-sized enterprises is bound up with the steady growth of our national economy, at the same time, dredging the financial channels and improving the guarantee system are crucial for the healthy development of small and medium-sized enterprises. This paper firstly analyzes the legislation of financial and guarantee system of our country as well as Jiangsu Province; then compares the financial and guarantee legal systems in America, Japan and South Korea; lastly tries to put forward some legislative proposals for the improvement of financal and guarantee system in our country as well as Jiangsu Province, in order to provide legal guarantee for the small and medium-sized enterprises to get out of the trouble.
