摘　　要：从契约理论的角度看,大型物流企业的本质是企业间超市场契约。其基本含义是,在价值链或产业链中拥有关键性资源的企业以行使控制权和指挥权的方式与其他企业的交易。这种交易具有以往企业间交易所不曾有的若干特征:具有框架的特征,其内容是在实施过程中逐步充实和展开的;整个交易过程伴随着生产过程,渗透在生产过程中;被交易的产品是双方多重复合交易的成果。这种契约特征决定了柔性化网络是其组织形式的必然选择。From the perspective of contract theory, the nature of large logistics enterprises is hyper market contract between firms. Its basic implication is that the enterprises which own key resources in value chain or industry chain transact with other firms in the form of exerting the right of control and command. This kind of transaction has some characteristics which never existed in the previous transactions between firms： it has the characteristics of framework and its contents are enrished and deployed gradually in the course of enforcement ; the whole transaction course goes with and penetrated in the course of production ; the products traded are the result of multiplex transaction between two parties. The contractual characteristics decide that flexible network is the necessary selection on the form of organization.
