我国企业对外并购中政府的导向作用及建议

摘　　要：当前,我国企业对外并购过程中,政府的导向作用非常明显,这使得国有企业具有很强的优势地位,而民营企业则由于受到限制较多,自身竞争力不足以及并购企业经营状况不佳,导致了并购之路受阻碍较大。针对出现的问题,政府应该加强自身引导作用,加快完善立法支持和可靠的情报中心建设,尤其在对民营企业对外并购上,应适当放松政策,拓宽企业融资渠道;公司自身也应加强并购后的管理,健全管理机制,以提升国际竞争力。Now in foreign merger of Chinese enterprises, the government＇s orientation is obvious： the state-owned enterprises take the great opportunities, while the private enterprises meet great difficulties in the process of merger and acquisition due to their weak competitiveness and imperfect business. Therefore, the government should increase guiding role, perfect legal support and construction of strong information center, especially, in foreign merger of private enterprises, ease policy appropriately to expand channels of enterprise financing, while the private enterprises themselves should also increase management after merger and improve management mechanism to enhance international competitiveness.
