摘　　要：证券市场的信息披露制度是对投资者进行保护的必要手段,专业中介机构在其中起到很大的作用,对专业中介机构在信息披露过程中的违法违规行为进行规制是十分必要的。民事责任制度作为规制的一个重要手段,在各个国家的证券立法中都占有举足轻重的地位。中介机构承担民事责任的理论基础是法定民事责任的理论。承担民事责任的范围包括证券发行和交易两个过程,这样的规定对投资者可谓是尽到了充分的保护。Information disclosure system in stock market is the necessary means to protect the investors and the security agency plays a vital role in this process,so it is also very necessary to regulate the security agencys illegal activities in the information disclosure process.The essay analyses the legislation and jurisprudence of the agency civil liability in information disclosure process of U.S.and reviews the existing provisions of our country,finally puts forward a number of legislative proposals.
